Clicks provides AI-powered automation agents for enterprise back-office operations. Our agents operate within your existing software systems to automate repetitive, rules-based tasks across functions including finance, revenue cycle management, executive search, and other business processes.

To use certain features of the Services, you may be required to create an account or provide access credentials. You agree to:

• Provide accurate and complete information when creating an account.
• Maintain the security of your account credentials and not share them with unauthorized parties.
• Promptly notify us of any unauthorized use of your account.
• Accept responsibility for all activities that occur under your account.

5. Intellectual Property

These Terms do not grant you any right, title, or interest in the Services except for the limited right to use them in accordance with these Terms.

You retain all rights to your data. By using the Services, you grant us a limited license to access and process your data solely for the purpose of providing the Services to you.

Each party agrees to maintain the confidentiality of any proprietary or confidential information disclosed by the other party in connection with the Services. This obligation does not apply to information that is publicly available, independently developed, or rightfully received from a third party without restriction.

7. Data Processing and Security

We process data in accordance with our Privacy Policy. We maintain SOC 2 Type 2 and HIPAA compliance and implement industry-standard security measures including end-to-end encryption, complete audit trails, and isolated processing environments to protect your data.

8. Service Level and Availability

We strive to maintain high availability of the Services but do not guarantee uninterrupted access. We may temporarily suspend the Services for maintenance, updates, or circumstances beyond our reasonable control. We will provide reasonable notice of planned downtime where practicable.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Clicks Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Services.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amounts paid by you to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Clicks Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your breach of these Terms or your misuse of the Services.

11. Termination

Either party may terminate these Terms at any time with thirty (30) days' written notice. We may suspend or terminate your access to the Services immediately if you breach these Terms.

Upon termination, your right to use the Services will cease. We will make your data available for export for a reasonable period following termination, after which we may delete it in accordance with our data retention policies.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.
